• Limited Liability Companies and Corporations – Michigan allows entrepeneurs to operate as a corporation or a limited liability company (LLC). Each of these forms has advantages. Both corporations and LLCs give flexibility in ownership, management, voting, and transfer of control while retaining tax treatments favorable to the owners. The LLC as a form of business is increasing in popularity for its ease in operation. Likewise, a Subchapter S corporation with pass through tax treatment is also a viable option. • Contracts – Business contracts range from leases, financing agreements, customer contracts, independent contractor and employment contracts. Each of these agreements have special provisions that must be considered. Many boilerplate contracts have provisions that can sometimes lead to trouble. We will review and prepare all agreements with the client's goals as the guide.
• Employment and independent contractor agreements are frequently necessary to retain good people for a business to succeed. It is important to understand the client’s needs in counseling the preferred working relationship. We have worked with a variety of businesses and can assist in these relationships.
• Insurance policies cover many risks and unique circumstances in business. Some insurance is required by law while others are optional. Each business has its own needs and a thorough review of insurance needs is very important. A business owner should consult with an experienced insurance agent and lawyer to avoid a situation where there is no coverage because of an exception or an exclusion.
• Buying and Selling a Business – Understanding the needs of the buyer and seller in a sale is the first step in a smooth transaction. We can assist in drafting and negotiating the agreement. When tough and effective negotiation is required we can help business clients achieve a successful result. Financing and securing a business purchase or sale often requires coordination between your certified public accountant and attorney. We can help arrive at a result that is satisfactory to all parties involved.
